Terms of Service

01 Acceptance & Eligibility

By accessing or using iKopn you confirm that you have read, understood and accepted these Terms. If you act on behalf of a company (as a Partner or Agency), you confirm that you are authorised to bind that entity.

Age requirement. iKopn is not directed at children. You may use the Service only if you are at least the age of digital consent applicable in your country: 16 years in the European Union, European Economic Area and United Kingdom; 14 years in China; 13 years in the United States and most other jurisdictions; or any higher local threshold. If you are below that age, you may only use iKopn with the verifiable consent of a parent or legal guardian, and the parent or guardian agrees to be bound by these Terms on your behalf.

If we learn that an account was created in breach of this section, we may suspend or delete it without notice.

02 The iKopn Service

iKopn is an interactive coupons platform. Brands and businesses (the "Partners") publish gamified campaigns in formats such as Fortune wheels, Reveal cards, Quizzes, Mystery quests and others. Members play these campaigns and earn real coupons redeemable at the Partner's stores or services.

The Service can be used in three modes from the same app: Member (consumer who plays and earns coupons), Partner (business that publishes campaigns and honours coupons), and Agency (intermediary that manages campaigns for one or more Partners). Some features are mode-specific; iKopn may add, remove or change features over time.

The Service is free of charge for Members. Partners and Agencies pay subscription or usage fees according to the plan they select; the applicable fees, billing cycle and currency are shown before checkout and confirmed in the in-app billing screens.

03 Your Account

You must create an account to use most of the Service. You agree to provide accurate, current and complete information and to keep it up to date. One natural person may hold one Member account; creating multiple Member accounts to circumvent campaign rules, audience caps or coupon limits is prohibited.

You are responsible for safeguarding your authentication credentials (one-time passwords, password, session tokens). You agree not to share your account with anyone and to notify us promptly at [email protected] if you suspect unauthorised access. iKopn is not liable for losses caused by your failure to keep your credentials confidential.

Accounts are personal and non-transferable. You may not sell, lease, lend, gift or otherwise transfer your account to a third party.

04 Acceptable Use

When using the Service, you agree that you will NOT:

• (a) use the Service for any unlawful purpose, or in a way that infringes the rights of others;
• (b) attempt to defraud the Service, including by faking gameplay outcomes, manipulating coupon redemption, creating fake stores or campaigns, or impersonating Partner staff;
• (c) use bots, scripts, scrapers, emulators, rooted/jailbroken devices, or any automated means to access or interact with the Service;
• (d) reverse engineer, decompile, disassemble or attempt to derive the source code of any part of the Service, except to the extent expressly permitted by mandatory law;
• (e) hold, operate or coordinate multiple Member accounts for the same person, or sell, resell or trade coupons for money;
• (f) upload, transmit or store any content that is illegal, defamatory, obscene, hateful, infringing, or that contains malware;
• (g) interfere with the integrity, performance or security of the Service, or attempt to gain unauthorised access to other accounts or to our infrastructure;
• (h) use the Service to harass, abuse, stalk or threaten another user.

We may investigate suspected breaches and take any action we consider appropriate, including suspending or terminating accounts, voiding coupons obtained in breach of these rules, and reporting unlawful activity to the competent authorities.

05 Coupons & Rewards

Coupons are digital promotional vouchers issued by Partners through the iKopn platform. iKopn operates the platform and processes the coupons but is not the issuer of the underlying offer; the legal commitment to honour a coupon is the Partner's.

• Validity: each coupon shows its issue date, expiry date and redemption conditions. After expiry the coupon is forfeited and cannot be extended, refunded or converted into anything else.
• No cash value: coupons have no monetary value, are not redeemable for cash and cannot be exchanged outside the Partner's published redemption channels.
• Member-to-member transfer: coupons may be transferred between Member accounts free of charge using the in-app Transfer feature. Any sale, resale, auction or commercial exchange of coupons is strictly forbidden and may void the coupon.
• Redemption: coupons are redeemed exclusively at the Partner's authorised points of sale or service, on presentation of the in-app QR code or 6-digit code. Redemption is subject to product availability, store hours and any additional conditions stated on the coupon.
• Single use: each coupon is single-use unless its description expressly states otherwise. Once redeemed, the coupon is consumed.
• Refunds, defects and disputes: any dispute about the goods or services received upon redemption is between you and the Partner and is governed by the consumer-protection laws of the country where the Partner operates. iKopn will help you contact the Partner but is not a party to the underlying sale.
• Service unavailability: if the Service is unavailable when a coupon is about to expire, contact [email protected]; we may, at our discretion, reissue or extend the coupon.

06 Partner & Agency Terms

If you use iKopn as a Partner or Agency, the following additional terms apply:

• Content responsibility: you are solely responsible for the accuracy, legality and decency of every campaign you publish, including imagery, claims, prices, store locations, opening hours and redemption conditions.
• Regulated categories: campaigns involving alcohol, tobacco, gambling, financial services, prescription health products, food health claims or any other regulated category must comply with the laws of every country in which they are visible. We may remove non-compliant campaigns without notice.
• Honour your coupons: you must redeem coupons published in your name at face value, in the listed stores, until their expiry date. Refusal to honour valid coupons may lead to suspension and to the publication of consumer notices.
• Licence to iKopn: by publishing a campaign, you grant iKopn a worldwide, royalty-free, non-exclusive licence to host, display, format, translate, archive and promote the campaign and your brand assets, solely for the purpose of operating, marketing and improving the Service.
• Fees and billing: you agree to pay the fees of the plan you select, in the currency and on the billing cycle confirmed at checkout. Late payment may lead to suspension of paid features. Fees are non-refundable except where required by mandatory consumer law.
• Personal data: if a campaign causes you to receive personal data of Members, you act as an independent data controller and must comply with all applicable data-protection laws. iKopn never shares Members' direct contact details with Partners.

07 Intellectual Property

The iKopn name, the iKopn logo in the Chewy typeface, the campaign formats (Fortune, Reveal, Match, Mystery, Quest, Tresor, Lab, Voice, Touch, Preview, Market, Unfold, Amplify, Ambassador and any future formats), the source code of the app and back-end, the design system, the documentation, the trademarks and all related intellectual property rights are and remain the exclusive property of AMA Edge FZE. Nothing in these Terms transfers any such rights to you.

Your content. You retain ownership of the content you upload (product photos for Tresor, partner logos, campaign images, comments, survey answers). By uploading content, you grant iKopn a worldwide, royalty-free, non-exclusive, sublicensable licence to host, store, reproduce, adapt, translate, publicly display and distribute that content, solely as needed to operate and promote the Service. The licence ends when you delete the content, except for technical copies kept in back-ups for the period stated in our Privacy Policy.

Notice and takedown. If you believe content on iKopn infringes your intellectual property rights, send a notice to [email protected] including: your identification, the work you claim is infringed, the URL or in-app location of the allegedly infringing content, a statement of good-faith belief, and your contact details. We respond within a reasonable time and may remove or restrict access to the content while we investigate.

08 Privacy & Data Protection

Our collection and use of your personal information is described in our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy explains what data we collect, how we use it, who we share it with, how long we keep it, and how you can exercise your data-protection rights including account deletion (in-app via Settings → Delete account, or by writing to [email protected]).

09 Service Availability & Updates

The Service is provided on an "as is" and "as available" basis. We do not promise that the Service will be uninterrupted, error-free or available at any specific time, and we do not offer an uptime service-level commitment for the free Member tier. We may add, modify, suspend, replace or discontinue features at any time. Where a change is material and adverse to you, we will give reasonable advance notice in-app or by email.

Beta features. Some features may be released as "beta", "preview" or "experimental". These features are provided for evaluation and may change or be removed without notice; they may carry additional or different terms which we will surface in-app before you opt in.

10 Suspension & Termination

By you. You may stop using the Service at any time and may permanently delete your account from Settings → Account → Delete my account in the iKopn app. Deletion is processed within 30 days, as described in the Privacy Policy.

By iKopn. We may suspend or terminate your access immediately, with or without notice, if (a) you breach these Terms, (b) we reasonably believe you are committing fraud, abuse or other unlawful activity, (c) continued provision of the Service to you would expose iKopn or third parties to legal or security risk, or (d) we are required to do so by law or by an order of a competent authority. For non-fraud material breaches by Partners or Agencies, we will normally give a 14-day cure period before terminating.

Effect of termination. Upon termination, your right to use the Service ends immediately. Unused or unredeemed coupons obtained for free are forfeited without compensation, except where the termination was wrongful on iKopn's part. Sections that by their nature should survive termination — including 5 (coupons already redeemed), 7 (intellectual property), 8 (privacy), 11 (disclaimers and liability) and 12 (governing law) — survive accordingly.

11 Disclaimers & Limitation of Liability

Disclaimers. To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. iKopn does not guarantee the quality, safety, legality or availability of goods or services obtained from Partners upon coupon redemption; the Partner is solely responsible for what it delivers.

Limitation of liability. To the maximum extent permitted by law, iKopn's total aggregate liability arising out of or relating to the Service is capped at the greater of (a) USD 500 (five hundred United States dollars) and (b) the amount you have actually paid to iKopn in the twelve (12) months preceding the event that gave rise to the claim. iKopn shall not be liable for indirect, incidental, consequential, exemplary or punitive damages, or for loss of profit, revenue, data, goodwill or business opportunity, even if advised of the possibility.

Consumer protections preserved. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the mandatory consumer-protection law of the country in which you reside. In particular, nothing limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by iKopn's negligence, or any other liability that cannot be limited under applicable law.

12 Governing Law, Disputes, Changes & Contact

Governing law. For all Partner and Agency relationships, these Terms are governed by the federal laws of the United Arab Emirates and by the regulations of the Ajman Free Zone Authority, without giving effect to conflict-of-laws rules. For Members acting as consumers, these Terms are governed by UAE law, but you keep the protection of any mandatory consumer-law provisions of the country in which you have your habitual residence.

Disputes. Before going to court, please write to [email protected] with a clear description of the issue and the outcome you want. We try to resolve good-faith disputes within 30 days. If the dispute is not resolved, then: (a) for Partners and Agencies — the courts of the Ajman Free Zone, United Arab Emirates, have exclusive jurisdiction; (b) for Members acting as consumers — you may bring proceedings either in the courts of the United Arab Emirates or in the courts of the country in which you reside, and iKopn may only bring proceedings against you in the courts of the country in which you reside.

Changes to these Terms. We may update these Terms from time to time. Material changes will be notified at least 30 days in advance by in-app message and by email to the address on your account. Trivial clarifications take effect on publication. Your continued use of the Service after a change has entered into force constitutes acceptance of the updated Terms; if you do not accept the change, you must stop using the Service and may delete your account.

Miscellaneous. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. These Terms, together with the Privacy Policy and any plan-specific terms confirmed at checkout, are the entire agreement between you and iKopn regarding the Service and supersede any prior agreements on the same subject.
